Terms of Service
Terms of Service
Company: Tariq Global Ventures LLC
Effective Date: March 5, 2025
Website: https://tariqglobalventuresllc.com/
These Terms of Service ("Terms") govern access to and use of the website operated by Tariq Global Ventures LLC ("TGV," "Company," "we," "our," or "us") and the professional services we provide.
Our services may include website design and development, digital marketing, search engine optimization (SEO), lead generation, business process outsourcing (BPO), customer support, virtual assistance, business operations support, AI automation, and related services.
By accessing or using our website, submitting a service inquiry, or purchasing our services, you agree to the provisions that apply to your activity. If you do not agree to these Terms, do not use the website or purchase our services.
If you enter into a separate proposal, statement of work, order, or signed service agreement with TGV, that document may establish additional terms for your engagement. Where a signed agreement expressly conflicts with these website Terms, the signed agreement will control for that specific conflict. All other applicable provisions remain in effect.
1. Acceptance and Eligibility
You must have the legal capacity to enter into a binding agreement to purchase our services. If you use our services on behalf of a company or another organization, you represent that you are authorized to act on its behalf and bind it to the applicable agreement.
In that situation, "you" and "Client" refer to both the organization receiving the services and, where appropriate, the person acting with its authorization.
These Terms apply to website visitors and prospective clients to the extent relevant to their use of the website, and to clients receiving services from TGV.
2. Services and Project Scope
TGV provides professional digital, marketing, technical, and business support services. The services available, deliverables, pricing, estimated timelines, and service requirements may vary by engagement.
The specific services included in a client's purchase will be determined by the applicable proposal, invoice, statement of work, written confirmation, or service agreement.
Unless expressly included in writing, a service purchase does not include unlimited revisions, ongoing maintenance, additional pages, additional campaigns, third-party subscriptions, advertising expenditure, new integrations, or work outside the agreed scope.
We may recommend adjustments to a project when reasonably necessary because of technical limitations, security concerns, platform changes, unavailable resources, or changes in the client's requirements. Material changes to scope, price, or deliverables require appropriate written approval.
3. Proposals and Client Agreements
A proposal or quotation describes the services we intend to provide and the commercial terms applicable to the engagement. Unless otherwise stated, proposals are subject to the acceptance period and conditions specified in the proposal itself.
Work may begin once the required approval, deposit, initial payment, access, and other stated prerequisites have been received.
A proposal, statement of work, invoice, or service agreement should identify the applicable deliverables, payment schedule, assumptions, timelines, and any special terms. Written approvals and agreed changes may form part of the project record.
If a client requests work beyond the agreed scope, TGV may provide a separate quote or change order before proceeding with the additional work.
4. Pricing, Invoices and Payments
4.1 Fees and Payment Terms
Clients agree to pay the fees stated in the applicable proposal, invoice, or service agreement. Payment deadlines, deposits, installment arrangements, recurring charges, and accepted payment methods will be communicated as part of the relevant transaction.
Unless otherwise agreed in writing, fees are stated before any applicable taxes, bank charges, currency conversion costs, or third-party charges that may apply. Any applicable taxes will be handled in accordance with the law and the agreed billing arrangements.
4.2 Deposits and Advance Payments
We may require a deposit or advance payment before scheduling or commencing work. A deposit may reserve resources, cover onboarding, initiate planning, or fund the first phase of a project.
Whether a deposit is refundable will be determined by the applicable written terms, the work performed, costs incurred, and applicable law. A deposit will not be treated as automatically forfeited where applicable law requires a different result.
4.3 Late or Overdue Payments
If an invoice remains unpaid after its due date, TGV may provide notice and an opportunity to resolve the outstanding balance. To the extent permitted by the applicable agreement and law, we may pause work, withhold undelivered deliverables, suspend access to services we operate, or terminate the engagement if the payment default remains unresolved.
Any interest, late fee, collection cost, or recovery expense must be authorized by the applicable agreement and permitted by law.
4.4 Disputed Invoices
If you believe an invoice is incorrect, contact us promptly with the invoice reference and an explanation. The parties should work in good faith to resolve legitimate billing disputes. This provision does not waive any non-waivable legal rights.
4.5 Recurring Services
Recurring service fees, renewal dates, billing frequency, cancellation notice requirements, and any minimum commitment will be stated in the applicable agreement or order. Cancelling a service does not automatically erase amounts already due for services provided or commitments properly incurred.
5. Client Responsibilities
The successful delivery of our services may depend on the client's cooperation. You agree to:
- Provide accurate, complete, and timely information.
- Supply content, branding assets, credentials, access, and materials reasonably required for the project.
- Review deliverables and provide consolidated feedback and approvals within agreed timeframes.
- Ensure that you have the necessary rights and permissions to provide all materials supplied to TGV.
- Maintain the security of your own accounts and promptly notify us of suspected unauthorized access.
- Ensure that your products, services, claims, and business practices comply with laws applicable to your business.
- Obtain any customer, employee, subscriber, or other consent required for information or marketing activities that you direct us to perform.
- Pay third-party fees and maintain subscriptions where those costs are your responsibility.
We are not responsible for delays or additional work caused by incomplete information, late approvals, unavailable credentials, inaccurate client-supplied content, or other dependencies outside our reasonable control. Project deadlines may need to be adjusted where such circumstances affect delivery.
6. Changes, Revisions and Delays
The included revisions, review rounds, and acceptance procedures for a project will be specified in the applicable proposal or agreement.
Requests that materially change the original scope, design direction, requirements, integrations, or deliverables may require additional fees and revised delivery dates. We will seek appropriate approval before undertaking chargeable additional work.
Delivery dates are estimates unless a specific deadline is expressly identified as binding in the written agreement. We will use reasonable efforts to meet agreed schedules and communicate material delays.
If the client does not provide required materials or feedback, the project schedule may be adjusted to reflect the delay and resource availability.
7. No Guarantee of Business Results
Unless expressly stated in a signed written agreement, TGV does not guarantee particular commercial, marketing, technical, or operational outcomes.
This includes, without limitation:
- Specific Google or other search engine rankings.
- Guaranteed indexing, organic traffic, or website visibility.
- A particular number of leads, appointments, sales, or customers.
- Specific advertising performance, conversion rates, or return on investment.
- Revenue growth, profitability, or a particular market position.
- Uninterrupted availability or permanent operation of third-party platforms.
- Specific results from AI tools, automation workflows, or external software.
Search engines, advertising networks, customers, competitors, market conditions, software vendors, and other external factors may affect outcomes beyond our control.
We will provide the services and deliverables described in the applicable agreement. Nothing in this section permits deceptive marketing, excuses a failure to perform an express contractual obligation, or removes rights that cannot legally be waived.
8. Intellectual Property and Ownership
8.1 Client Materials
You retain ownership of materials you owned before the engagement or independently supply to us, including your trademarks, logos, photographs, text, data, and other content, subject to the rights of any third parties.
You grant TGV a limited, non-exclusive right to use, reproduce, modify, and process those materials as reasonably necessary to provide the agreed services. This permission ends when it is no longer necessary for the engagement, subject to lawful recordkeeping and any continuing rights granted by agreement.
8.2 Custom Deliverables
Ownership or licensing of custom deliverables, including website designs, written content, graphics, code, campaign materials, and other project outputs, will be governed by the applicable written agreement.
Unless that agreement states otherwise, and to the extent legally permitted, rights in specifically commissioned deliverables that are eligible for transfer will transfer to the client only after full payment of all amounts due for those deliverables. Before full payment, the client may not use or distribute unpaid deliverables beyond any limited use expressly authorized in writing.
Where a transfer is legally ineffective without a separate written instrument or further action, the parties will execute the documentation reasonably necessary to give effect to their agreed arrangement.
8.3 TGV's Pre-Existing Materials
TGV retains ownership of its pre-existing tools, methods, templates, processes, know-how, generic code, reusable components, and materials developed independently of a client's project.
If such materials are incorporated into a paid deliverable, the client receives the license expressly granted in the applicable agreement or, if none is specified, a reasonable license to use those incorporated materials as part of the deliverable for its intended business purpose, subject to any third-party restrictions.
8.4 Third-Party and Open-Source Materials
Fonts, stock images, software libraries, plugins, themes, open-source components, and other third-party materials may be subject to separate license terms. Ownership of a custom deliverable does not transfer ownership of those third-party materials.
8.5 Portfolio Use
TGV will not publicly disclose confidential client information or use a client's non-public materials in a portfolio in violation of a written confidentiality obligation. Any public portfolio use of a client's name, logo, or project details must be consistent with the applicable agreement and permissions.
9. Third-Party Platforms and Services
Our work may rely on third-party services such as website hosting providers, domain registrars, advertising platforms, search engines, analytics tools, email services, payment processors, software vendors, and communication platforms.
Unless expressly included in the agreed scope, TGV does not own or control those third-party services and cannot guarantee their availability, policies, pricing, security, continued operation, or performance.
The client's use of third-party services may be subject to separate terms, privacy policies, service charges, renewal requirements, and account rules. The party responsible for the account should maintain accurate billing details and review applicable provider terms.
If a third-party provider changes its system, API, policies, or service availability, additional work may be necessary. Any material additional fees or scope changes will be discussed with the client.
10. AI Automation and Technology
Certain services may use artificial intelligence, machine learning, automated workflows, chatbots, data-processing tools, or other automated systems.
Automated systems may produce inaccurate, incomplete, outdated, or unexpected outputs. Unless expressly agreed otherwise, the client remains responsible for reviewing outputs and deciding whether they are appropriate for its business, customers, and legal obligations.
AI or automation services should not be treated as a substitute for qualified legal, medical, financial, security, or other professional advice where such advice is required.
Clients must not provide information to an AI tool or automated service unless they have the rights and authority to do so. Any specific data-processing requirements should be documented in the applicable agreement.
11. Acceptable Use
You agree not to use our website or services to:
- Violate applicable laws, regulations, or third-party rights.
- Transmit malware, malicious code, or unauthorized access tools.
- Attempt to compromise our systems or another party's systems.
- Submit content that you are not authorized to use or distribute.
- Conduct unlawful fraud, impersonation, harassment, or deceptive activity.
- Send unlawful spam, unsolicited marketing, or messages without required authorization.
- Use our services in a way that violates applicable privacy, advertising, intellectual property, or telecommunications laws.
We may investigate suspected misuse and take proportionate action, including suspending affected services or terminating an engagement where justified and permitted by law.
12. Confidentiality and Data Protection
Each party may receive non-public business, technical, financial, customer, or operational information from the other party while working together.
Where information is identified as confidential or reasonably should be understood to be confidential, the receiving party will use reasonable care to protect it and will use it only for purposes connected with the engagement, unless otherwise authorized or required by law.
Confidentiality obligations do not ordinarily apply to information that becomes public without breach, was lawfully known beforehand, is independently developed without use of confidential information, or is lawfully obtained from another source without a duty of confidentiality.
A party may disclose confidential information when legally required, subject to any legally permitted notice and cooperation requirements.
Personal information handled through our website is also subject to our Privacy Policy . Where a project requires a separate data-processing agreement, security terms, or confidentiality agreement, those additional terms should be executed separately.
13. Suspension and Termination
13.1 Suspension
To the extent permitted by the applicable agreement and law, TGV may temporarily suspend affected services when reasonably necessary to address an overdue payment, a material security risk, unlawful activity, a serious breach of these Terms, or a third-party restriction that prevents continued performance.
Where reasonably practicable, we will provide notice and an opportunity to remedy the issue before suspension, except where immediate action is reasonably necessary to protect security, comply with law, or prevent material harm.
13.2 Termination by the Client
A client may terminate an engagement according to the cancellation, notice, and termination provisions of the applicable agreement. If no specific terms have been agreed, the parties should provide written notice and work in good faith to determine the appropriate end date and outstanding obligations.
13.3 Termination by TGV
TGV may terminate an engagement for a material breach that remains uncured after any applicable notice and cure period, persistent non-payment, unlawful or abusive conduct, or circumstances making continued performance unlawful or commercially impracticable.
Where an immediate termination is not reasonably necessary, we will provide notice and a reasonable opportunity to address a curable breach, subject to the applicable agreement and law.
13.4 Effect of Termination
On termination, the client remains responsible for fees for services properly performed and other amounts due under the agreement. Any refund of prepaid amounts, delivery of paid deliverables, return of client materials, and transition assistance will be handled under the applicable agreement and law.
Provisions that by their nature should continue after termination, including payment obligations, intellectual property restrictions, confidentiality, liability provisions, and dispute terms, will survive to the extent applicable.
14. Refunds and Cancellations
Refund eligibility is governed by our Refund Policy , the applicable proposal or service agreement, and applicable law.
Unless the applicable terms or law require otherwise, fees for services already performed, completed deliverables, and properly incurred third-party expenses may not be refundable.
A request to cancel or receive a refund should be submitted in writing with the relevant invoice, project reference, and reason for the request. We will review the request under the applicable terms rather than treating every payment or cancellation identically.
15. Disclaimers and Service Availability
Our website provides general information about TGV and our services. We make reasonable efforts to keep that information useful and accurate, but website content may not always reflect the latest service details, pricing, or availability.
To the extent permitted by law, the website and general informational content are provided on an "as available" basis. We do not warrant that the website will always operate without interruption, error, or technical issue.
For paid services, the express commitments in the applicable proposal or agreement remain in effect. Nothing in this section excludes a warranty or obligation that applicable law does not permit us to exclude.
16. Limitation of Liability
To the maximum extent permitted by applicable law, TGV will not be liable for indirect, incidental, special, exemplary, punitive, or consequential losses arising out of or relating to the website or services, including loss of profits, revenue, anticipated savings, business opportunities, or data, where those categories of loss may lawfully be excluded.
To the maximum extent permitted by law, TGV will not be responsible for losses resulting from third-party platform outages, search engine changes, advertising account decisions, customer misuse of deliverables, inaccurate client-supplied information, or circumstances beyond our reasonable control.
For claims arising from a particular paid engagement, and to the extent permitted by applicable law, TGV's aggregate liability will not exceed the total professional fees actually paid or payable to TGV under the agreement giving rise to the claim during the 12 months preceding the event giving rise to the claim.
If the engagement has been active for less than 12 months, the relevant period will be the period from the start of that engagement through the event giving rise to the claim.
This limitation does not apply to liability that cannot lawfully be limited or excluded, or to any other category of liability that applicable law requires to remain available.
17. Indemnification
To the extent permitted by applicable law, the client agrees to defend or reasonably cooperate in the defense of third-party claims arising from the client's unlawful conduct, materials supplied without the necessary rights, or material breach of these Terms, and to pay damages, losses, and reasonable legal costs finally awarded or agreed in a settlement approved by the client, to the extent caused by that conduct or breach.
This obligation does not apply to the extent a claim results from TGV's own breach, negligence, willful misconduct, or other conduct for which the client cannot legally be required to provide indemnification.
The party seeking indemnification will provide reasonably prompt notice of the claim, subject to the extent that delayed notice does not materially prejudice the defense. The parties will cooperate in good faith. No settlement imposing an admission, payment, or continuing obligation on the other party may be entered into without that party's consent, not to be unreasonably withheld where appropriate.
18. Website Content and External Links
Our website may contain links to external websites, tools, or resources operated by third parties. Those links are provided for convenience and do not necessarily imply endorsement.
TGV does not control third-party websites and is not responsible for their content, availability, security, or privacy practices. Your use of those websites is subject to their applicable terms and policies.
19. Electronic Communications and Signatures
You may communicate with TGV electronically, including by email and through online forms, where appropriate for the transaction.
Where permitted by applicable law and the circumstances of the transaction, electronic records and electronic signatures may be used for proposals, approvals, agreements, and related business communications.
The parties must still satisfy any applicable legal requirements for notice, consent, recordkeeping, or execution. Neither party is required to conduct every transaction electronically unless it has agreed to do so.
20. SMS and Text Messaging
If TGV offers SMS or text messaging, those communications are subject to the applicable opt-in disclosure and our Privacy Policy .
Where required, we will obtain the appropriate consent before sending text messages. Consent to receive marketing text messages is not a condition of purchasing goods or services.
Message frequency varies, and message and data rates may apply. You may reply STOP to opt out of a supported messaging program and HELP for assistance where supported, or contact us using the information below.
We will process applicable opt-out requests in accordance with relevant requirements. Consent records and mobile information will be handled as described in our Privacy Policy.
21. Governing Law and Disputes
These Terms and disputes arising from them will be governed by the laws of the State of Missouri, without regard to conflict-of-law principles, except where applicable law requires otherwise.
The parties will first attempt to resolve disputes through good-faith discussions. A party raising a dispute should provide written notice describing the issue and the resolution sought. The parties should make reasonable efforts to discuss the matter before commencing formal proceedings, unless urgent relief or a legal deadline requires earlier action.
Subject to applicable law, proceedings relating to these Terms may be brought in the state or federal courts having jurisdiction in Missouri, and the parties consent to the jurisdiction of those courts where legally permitted.
Nothing in this section prevents a party from seeking urgent injunctive relief or exercising a right that cannot lawfully be restricted by contract.
22. Changes to These Terms
We may revise these Terms to reflect changes in our services, business operations, technology, or legal requirements.
Revised Terms will be published on this page with an updated effective date where appropriate. Changes will apply prospectively unless otherwise permitted by law and agreed by the parties.
A material change to an existing paid engagement will not automatically override the terms of a separate signed agreement. Where required, we will seek the appropriate agreement or consent.
23. General Provisions
23.1 Entire Agreement
These Terms, together with the applicable proposal, statement of work, service agreement, and policies incorporated into that agreement, describe the applicable terms of the relationship. A separate written agreement may supplement or expressly override these Terms for a specific engagement.
23.2 Severability
If any provision is held invalid or unenforceable, it will be limited to the minimum extent necessary or severed where appropriate. The remaining provisions will continue to apply to the extent legally permitted.
23.3 No Waiver
A failure or delay in enforcing a provision does not automatically waive the right to enforce it later. Any waiver must be assessed in accordance with applicable law and the circumstances.
23.4 Assignment
Neither party may assign a material contractual obligation in a way that materially prejudices the other party without consent, except where assignment is permitted by the applicable agreement or law. TGV may use qualified contractors or service providers to help deliver services while remaining responsible for its own contractual obligations.
23.5 Force Majeure
Neither party will be responsible for a delay caused by circumstances beyond its reasonable control, such as natural disasters, widespread outages, war, government action, labor disruptions, or major third-party infrastructure failures, provided the affected party takes reasonable steps to reduce the impact and resumes performance when reasonably possible.
This section does not automatically eliminate payment obligations for services already performed or other amounts properly due under the applicable agreement.
23.6 Independent Contractor
Unless expressly agreed otherwise in writing, TGV provides services as an independent contractor. These Terms do not create a partnership, joint venture, employment relationship, or agency relationship between the parties.
23.7 No Third-Party Beneficiaries
Unless an agreement expressly states otherwise, these Terms do not create enforceable rights for third parties who are not parties to the applicable agreement.
